Terms of Service

1. Acceptance of Terms

By accessing or using photoresizer.ca (“the Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. We reserve the right to update these terms at any time, and continued use of the Service after changes constitutes acceptance of the updated terms.

2. Description of Service

photoresizer.ca provides online image editing tools including but not limited to: image resizing, cropping, format conversion, background removal, AI-powered image expansion, AI-powered image upscaling, and image compression (“the Tools”).

The Service is offered in both free and paid subscription tiers. Free tier usage may be subject to limitations including processing speed, concurrent generation limits, and feature availability. Paid tiers unlock additional capacity, speed, and features as described on our pricing page.

3. User Accounts

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Account Information

You must provide accurate, current, and complete information during registration and keep your account information updated. You may not use another person's account without permission.

Account Termination

We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or abuse the Service in any way. You may cancel your account at any time through your account settings.

4. Subscriptions and Payments

Subscription Plans

Paid subscriptions are billed on a recurring monthly or annual basis as selected at checkout. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the paid period. We do not provide refunds for partial billing periods.

Price Changes

We may change subscription pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.

Payment Processing

All payments are processed securely through Stripe. We do not store full credit card details on our servers. By making a purchase, you agree to Stripe's terms of service.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, process, or distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Upload or process images that infringe on any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
  • Upload or process images containing malware, viruses, or any code designed to disrupt or damage computer systems.
  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
  • Attempt to gain unauthorized access to the Service, other accounts, or systems connected to the Service.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Use automated means (bots, scrapers, etc.) to access the Service without our express written permission.
  • Resell, redistribute, or sublicense access to the Service without authorization.

6. Intellectual Property

Your Content

You retain all rights to the images and content you upload to the Service. By uploading content, you grant us a limited, non-exclusive license to process your content solely for the purpose of providing the Service to you. We do not claim ownership over your uploaded images or the output generated by our tools.

Our IP

The Service, including its code, design, branding, and underlying technology, is owned by photoresizer.ca and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

AI-Generated Content

Content generated by our AI tools based on your inputs is owned by you, subject to the terms and policies of the underlying AI model providers. You are responsible for ensuring you have the right to use any images you upload for AI processing.

7. Third-Party Services

The Service may integrate with or link to third-party services, including AI model providers, payment processors, and analytics platforms. We are not responsible for the content, accuracy, or practices of any third-party services. Your use of such services is subject to their respective terms and privacy policies.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, photoresizer.ca AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless photoresizer.ca and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these terms, or your infringement of any third-party rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the Service shall be resolved exclusively in the courts of Ontario, Canada.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
